Lindsay Waiser is counsel in the Corporate Practice Group of Davis & Gilbert. She is involved in all aspects of the corporate practice, including advising clients with respect to:

  • Stock and asset acquisitions, representing both buyers and sellers
  • Shareholder and operating agreements
  • Entity formation and day-to-day corporate matters
  • Employment agreements and non-competition agreements
  • Phantom equity and related arrangements

Her clients include companies across a wide range of industries, including marketing communications (including all areas of advertising, marketing services, and public relations), hospitality (including restaurants and event production service providers) and life sciences.

Mrs. Waiser also assists clients in structuring and negotiating investment banking engagement letters, non-disclosure agreements, joint venture transaction and other general corporate matters.

Before joining Davis & Gilbert, Ms. Waiser was an associate in the finance and real estate group at Dechert LLP where she focused on securitization. While in law school, she served on the New York Law School Law Review as an Associate Editor.

  • Represented the owners of a creative advertising agency, specializing in gaming and streaming entertainment, in the sale of their majority equity interest to a global advertising company.

  • Represented a world-leading translation company in its acquisition of an intellectual property information business.
  • Represent high-end restaurant groups and restaurateurs in management agreements and joint ventures with various cultural institutions and hotels.
