Lewis A. Rubin is the firm’s Chief Operating Partner and he is also a partner in the Corporate practice group. Mr. Rubin has extensive experience in the areas of mergers and acquisitions, shareholder and partnership relationships, employment arrangements, financings, licensing transactions and other general commercial matters.
Mr. Rubin frequently represents individuals in connection with the formation, management and sale of their businesses. He advises executives and business owners on the creation of limited liability company operating agreements and shareholder arrangements, the structuring of equity and cash incentive compensation plans and the negotiation of employment agreements and restrictive covenants. Mr. Rubin is often called upon to advise business owners with respect to sensitive matters involving business succession issues, family businesses and shareholder/partner disputes, utilizing, where appropriate, a dialogue-based approach for the efficient and effective resolution of disputes and complex negotiations. He has broad experience in overseeing sophisticated mergers and acquisitions, joint ventures and financing transactions for clients such as Publicis Groupe, Mr. Youth, Elias Arts and Alexis Bittar, as well as serving in the role of general outside counsel for a diverse range of businesses, including Dessy Creations (apparel), Protagonist (marketing communications), Greenville Drive (minor league baseball) and John Barrett Salon (hair care products).
Prior to joining Davis & Gilbert, Mr. Rubin was a corporate attorney at Simpson Thacher & Bartlett LLP and served as the Publisher of The Connecticut Law Tribune. While in law school, he was a member and editor of the New York University Law Review.
