Jonathan L. Sagot is a partner in the Corporate Practice Group of Davis & Gilbert. He is involved in all aspects of the firm’s corporate practice, including mergers and acquisitions, joint ventures, investments, financings and general commercial matters, with a focus on emerging growth companies. Mr. Sagot has extensive experience representing buyers and sellers in a variety of industries, particularly the advertising, marketing and communications sectors, in negotiating and executing private M&A transactions. His practice includes experience in cross-border acquisitions, divestitures and investments, including transactions in Canada, Mexico, Israel, and throughout Central and South America.

In the emerging company space, Mr. Sagot regularly represents founders, high-growth companies and investors seeking to finance these businesses, including in the technology, marketing, retail, consumer goods, food and beverage and fashion industries. He counsels emerging company clients through all stages of growth, beginning at formation and continuing throughout their funding lifecycle, and he represents issuers and investors in convertible note financings, priced equity round financings and successful M&A exits.

In his general corporate practice, Mr. Sagot also represents employers and employees in structuring and negotiating employment agreements, incentive compensation arrangements (including equity plan administration), restrictive covenant agreements and separation agreements. He also has extensive experience with a full range of internal reorganizations and general corporate transactions, including intercompany debt transactions, and he regularly represents clients in connection with various commercial matters, including customer agreements, vendor contracts, non-disclosure agreements and engagement letters.

While in law school, Mr. Sagot served as an executive articles editor of the Annual Survey of American Law. Prior to joining Davis & Gilbert, Mr. Sagot was a corporate attorney at Weil, Gotshal & Manges LLP.

  • Counsel to Blue Vision Labs, a technology and artificial intelligence-focused start-up, in its Series Seed and Series A financings.
  • Represented Gainfully, a media marketing platform designed specifically for financial professionals, in its Series Seed financing.
  • Represented Pulse Films Limited, an award-winning production and talent management company, in the sale of its business to Vice Media.
  • Counsel to Represent International, a company that allows users to design and sell custom apparel as part of separate campaigns, in the sale of its business to CustomInk.
  • Represented Hawkeye Communications in the sale of its advertising agency business to Publicis.
  • Represented Hawkeye Communications in the sale of its channel marketing business to Vistex.
  • Counsel to WPP plc and its affiliate, Ogilvy & Mather, in the acquisition of 100% of the issued and outstanding shares of John Street Inc., a digital advertising agency based in Toronto.
  • Represented Meta Health Technology, a provider of health information management solutions for hospitals, clinics, physician group practices and long-term care facilities across the United States and Canada, in the sale of its business to Streamline Health Solutions.
  • Represented The Weather Underground, the world’s first online weather service, in the sale of its business to The Weather Channel Companies.
  • Represented WPP plc and its affiliate, JWT North America, in the acquisition of Lunchbox LP, a shopper engagement solutions agency.
